Terms of Use

1. Acceptance of Terms

By accessing or enrolling in AI Shield™ or AITSC™ (“AI Shield Training,” “we,” “us,” or “our”), you agree to be bound by these Terms of Use. If you are enrolling on behalf of an organization, you represent that you have the authority to bind the organization to these terms.

These terms govern:

• Access to courses and certification programs
• Payments and licensing
• User responsibilities
• Organizational responsibilities
• Use of training materials
• Limitations of liability

2. License to Use AI Shield Training

Upon purchase, the customer (individual or organization) receives:

• Access to the purchased training materials for 12 months
• One seat per learner
• Certification eligibility upon completion of assessments
• A non-exclusive, non-transferable license to use the content internally

Licenses may not be shared, resold, or redistributed. Once a user has accessed the training, the license cannot be transferred to another individual.

3. Organizational Licensing & Tier-Based Pricing

Pricing for AI Shield Training is based on the number of employees within the purchasing organization at the time of purchase. Organizations must ensure that employee counts are accurate when choosing their pricing tier.

If the organization expands during the 12-month term and exceeds its current tier:

• The organization is required to upgrade to the appropriate tier, and
• A prorated fee for the remaining months of the annual term will be applied.

Renewal pricing for the following year will be based on the organization’s employee count at renewal. This policy ensures fair licensing and proper access control.

4. Payment & Refund Policy

All payments are processed securely through Thinkific Payments / Stripe.

All sales are final.

Because access to digital training materials is provided immediately upon purchase, no refunds are offered.

A refund may be considered only if:

• No user has accessed the course, and
• The refund request is made within 24 hours of purchase.

Annual recertification fees are also non-refundable.

5. Certification Requirements

To receive an AI Shield™ or AITSC™ certification, learners must:

• Complete all required modules
• Successfully pass all required assessments
• Maintain compliance with platform rules and policies

Certifications are valid for 12 months and require annual recertification via the renewal process.

6. Access Duration

Each user receives 12 months of access to their enrolled program beginning on the purchase date. Attempts to share or extend access beyond this term without renewal are prohibited.

7. User Responsibilities

Users agree to:

• Maintain the confidentiality of their login credentials
• Complete training personally and without assistance from unauthorized third parties
• Use AI Shield materials solely for permitted organizational training
• Not copy, post, or redistribute any course materials or assessments

Violations may result in suspension or termination of access.

8. Organizational Responsibilities

Organizations purchasing AI Shield Training agree to:

• Provide accurate employee counts when selecting a tier
• Upgrade tiers when employee numbers change
• Ensure learners follow all access and usage rules
• Prevent unauthorized sharing, distribution, or reproduction of materials
• Maintain internal governance and compliance processes separate from AI Shield Training

9. Intellectual Property

All AI Shield™ and AITSC™ training materials—including videos, guides, assessments, documents, data models, and certification content—are the exclusive property of Deep Dive Innovations LLC. No part of the content may be copied, distributed, repurposed, or reverse-engineered without written permission.

10. Prohibited Conduct

Customers and users may not:

• Share login credentials
• Circumvent licensing or seat limits
• Extract or reproduce course content
• Use AI Shield materials to create competing products
• Misrepresent certification status

Violation may lead to account suspension or legal action.

11. No Professional Services Clause

AI Shield™ and AITSC™ do not provide legal, regulatory, financial, or professional advisory services. All training content is offered for general educational purposes only. Customers should consult qualified professionals for legal, compliance, or regulatory guidance.

12. Customer Responsibility Clause

The customer (individual or organization) is solely responsible for:

• Determining whether AI Shield™ or AITSC™ training is appropriate for their environment
• Implementing internal governance, oversight, and compliance policies
• Ensuring alignment with applicable local, state, federal, or international regulations
• Evaluating risks associated with AI system deployment

AI Shield Training is not responsible for governance decisions, compliance outcomes, or operational impacts.

13. Limitation of Liability

AI Shield™ and AITSC™, including all training materials, certifications, assessments, and documentation, are provided “AS IS” without warranties of any kind—express or implied—including accuracy, completeness, or suitability for compliance purposes.

To the fullest extent permitted by law:

Deep Dive Innovations LLC’s total liability is limited strictly to the total amount paid by the customer for the service giving rise to the claim.

We are not liable for:

• Indirect, incidental, or consequential damages
• Lost revenue or business interruption
• Compliance failures or enforcement actions
• Decisions made based on training content

Some jurisdictions do not allow certain limitations; in such cases, liability is limited to the lowest extent legally permitted.

14. Disclaimer

AI Shield™ and AITSC™ provide general guidance on AI safety, responsible AI use, and risk awareness. This training does not constitute:

• Legal advice
• Regulatory advice
• Compliance advice
• Professional consulting

Organizations remain fully responsible for their own compliance obligations and internal governance. Completion of AI Shield Training does not guarantee compliance with any law, regulation, or standard.

15. Termination of Access

We may suspend or terminate user access if:

• Terms of Use are violated
• Licensing misuse is detected
• Fraud or unauthorized distribution occurs
• Payment issues arise

Suspension does not entitle the customer to a refund.

16. Governing Law

These Terms are governed by the laws of the State of Wyoming and the United States. Any disputes shall be resolved exclusively in state or federal courts located in Wyoming.
